Terms of Service

1. Service Description

TimeDetail is a cloud-based time tracking application designed for attorneys, accountants, consultants, and other professionals who bill by the hour. The Service allows you to create time entries through multiple input methods, including typed descriptions, dictation, email, and SMS text messages. TimeDetail uses artificial intelligence to parse your natural-language input into structured time entries.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. AI-Assisted Processing

The Service uses third-party artificial intelligence (specifically, OpenAI's language models) to interpret freeform text you submit and suggest structured time entries. You acknowledge and agree that:

• AI processing is used to suggest time entries only. The Service never automatically finalizes, bills, or exports entries on your behalf without your explicit action.
• All AI-generated suggestions are presented as drafts for your review. You are solely responsible for reviewing, editing, and finalizing any time entry before it becomes part of your billable records.
• Your input text, along with your client names, category names, and matter names, is sent to OpenAI for processing. We do not send your billing rates, financial information, or account credentials to AI providers.
• AI outputs may contain errors, inaccuracies, or misinterpretations. You should not rely on AI suggestions without review.
• We do not guarantee the accuracy, completeness, or suitability of any AI-generated content.

4. Draft-First Workflow

All time entries created through the Service begin as drafts, regardless of the input method used. Draft entries are not included in reports, exports, billing calculations, or third-party integrations until you explicitly finalize them. Finalizing an entry requires that a client is assigned, the duration is greater than zero, and you take an affirmative action to finalize. This workflow is a core feature of the Service and is designed to ensure that you maintain control over your billable records.

5. SMS Text Messaging Terms

The Service offers optional SMS (text message) based time entry creation (“Text Time”). By opting in to Text Time, you agree to the following terms:

6. Email Ingestion

You may submit time entries by sending email to your unique private logging address. This address is generated for your account and should not be shared. Emails are processed by our email provider (Mailgun) and parsed by the AI system. Email ingestion is subject to the same draft-first workflow as all other input methods.

7. Third-Party Integrations

The Service may integrate with third-party practice management and accounting platforms, including but not limited to Clio Manage. By connecting a third-party integration, you agree to the following:

• You authorize TimeDetail to access your account on the connected platform within the scope of permissions you grant during the OAuth authorization process.
• For Clio Manage: TimeDetail syncs finalized time entries to Clio as Activities. This is a one-way sync initiated by you (either per-entry or in bulk). TimeDetail does not modify, delete, or read your existing Clio data beyond what is necessary to map clients, matters, and activity descriptions.
• Integration connections can be disconnected at any time from your account settings, which revokes TimeDetail's access to the connected platform.
• We are not responsible for the availability, accuracy, or security practices of third-party platforms. Your use of integrated platforms is subject to their respective terms of service and privacy policies.
• OAuth tokens for connected integrations are encrypted at rest using AES-256-GCM encryption.

8. Subscription Plans and Payment

The Service is offered in free and paid subscription tiers. The free tier includes a limited number of time entries per month. Paid subscriptions are billed monthly or annually through Stripe. By subscribing to a paid plan, you agree to the following:

• You authorize us to charge your payment method on a recurring basis until you cancel.
• Subscription fees are non-refundable except where required by law.
• We may change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
• You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period.
• If payment fails, we may downgrade your account to the free tier after reasonable notice and attempts to resolve the payment issue.

9. Your Data and Ownership

You retain all ownership rights to the data you submit to the Service, including time entry descriptions, client names, category names, and matter names. We do not claim any intellectual property rights over your data. You grant us a limited license to process, store, and transmit your data solely for the purpose of providing and improving the Service. We store client and category names as text within your time entries (not as foreign key references), so deleting a client or category from your account does not alter or delete historical time entry data.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to transmit malicious software or content.
• Resell, sublicense, or provide access to the Service to third parties without our written consent.
• Submit content through any ingestion channel that is obscene, defamatory, or infringes on the intellectual property rights of others.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Afferte LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, revenue, or business opportunities, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated suggestions will be accurate or suitable for any particular purpose.

You acknowledge that time tracking and billing are critical business functions, and you are solely responsible for verifying the accuracy of all time entries before finalizing, exporting, or billing them.

13. Indemnification

You agree to indemnify, defend, and hold harmless Afferte LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Account Termination

You may delete your account at any time by contacting us at support@timedetail.com. We may suspend or terminate your account if we reasonably believe you have violated these Terms or if required by law. Upon termination, your right to access the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it upon request, after which it will be permanently deleted in accordance with our Privacy Policy.

15. Modifications to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in DuPage County, Illinois. You agree to submit to the personal jurisdiction of such courts.

17. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and SMS Consent terms, constitute the entire agreement between you and Afferte LLC regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
